Terms and Conditions

Welcome to Carbon, an online platform for the trading of CCS CO2 credits. The following terms and conditions ("Terms") govern your use of the Carbon website and its related services (collectively, the "Service"). By using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Service.

  1. Description of Service: Carbon provides a platform where users can create listings for CCS CO2 credits they wish to sell, negotiate sales and purchases of CCS CO2 Credits. All credits listed, sold, and purchased through Carbon MUST INCLUDE GST.

  2. Selling on Carbon: Before you list CCS CO2 credits for sale on Carbon, you agree to transfer the credits to Carbon’s CCS CO2 Account. Once a sale has been negotiated, the credits you have sold will be purchased from you by Carbon and sold to the Buyer. Once a sale is made, the Seller will immediately create an invoice addressed to “The Carbon Trading Company” for the sold credits as directed by email. Once the Invoice is received, the exchange is made with the sold credits being deposited into the purchaser's CCS CO2 account by Carbon upon request, and the proceeds of the sale being transferred to your Carbon account, from which you can withdraw the funds. Withdrawals may take up to 5 business days.

  3. Buying on Carbon: When you browse listings for CCS CO2 credits on Carbon and complete a purchase, you will need to load funds into your Carbon account before being able to complete a purchase. Once Carbon has verified that it has both the credits and payment, the exchange is made with the credits being deposited into the buyer's CCS CO2 account. Carbon will then generate an Invoice and receipt for the buyer in respect to the credits they have purchased.

  4. Carbon does not pay interest on monies or credits held by Carbon in your Carbon Wallet.

  5. Trading with Pay As You Go (PAYG) or Fleet Average (FAVG) Accounts: New vehicle dealers can create listings for other new vehicle dealers who have either a PAYG or FAVG CO2 account. Used vehicle dealers can create listings for other used vehicle dealers who have either a PAYG or FAVG account. New and used credits cannot be exchanged with each other.

  6. Credit Expiration Date: All CCS CO2 Credits have an expiration date. Pay attention when purchasing credits to ensure you are aware of the expiry date. All credit packets on Carbon have the expiration date clearly listed. This expiration date is the last day these can be used as payment for potential fines on your Waka Kotahi CCS CO2 Account.

  7. Safety and Security: Credits and Funds are held in an exchange until both parts of the transaction are verified. If either the credit transfer or the payment fails, Carbon will not transfer the credits or make a payment, and the exchange is cancelled with no credits or money lost. No success fees are charged by Carbon in the event of a failed transaction.

  8. Obligation to Return CCS CO2 Credits and Funds: a) Users acknowledge and agree that if they receive incorrectly added CCS CO2 credits in their Waka Kotahi CCS CO2 Account, they are required by law to return these credits to Carbon immediately upon discovery. b) Users further acknowledge and agree that if they receive incorrectly paid funds, they are obligated by law to return the funds to Carbon without delay upon notification or discovery of the error. c) Users understand that failure to comply with the obligation to return incorrectly added credits or funds may result in legal consequences and potential liability.

  9. Compliance with New Zealand Law: a) These terms and conditions are governed by and shall be construed in accordance with the laws of New Zealand. b) In case of any dispute arising out of or in connection with these terms and conditions, the user agrees to submit to the exclusive jurisdiction of the New Zealand courts.

  10. Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions shall in no way be affected or impaired.

  11. Intellectual Property: All content and materials on the Carbon website, including text, graphics, logos, button icons, images, audio clips, and software, are the property of Carbon and are protected by New Zealand and international copyright laws. Users may not copy, reproduce, distribute, or create derivative works from the content or materials on the Carbon website without prior written permission from Carbon.

  12. Disclaimer of Liability: Carbon does not warrant or make any representations regarding the accuracy, reliability, or availability of any content or materials on the Carbon website. Carbon shall not be responsible for any errors or omissions in any content or materials on the Carbon website.

  13. Termination: Carbon reserves the right to terminate your access to the Service or any part thereof at any time, with or without cause, with or without notice.

  14. Two-Factor Authentication: To enhance security, Carbon provides the option for users to enable two-factor authentication when logging into their Carbon account. This adds an extra layer of protection to prevent unauthorized access to your account.

  15. AML Compliance: Users agree to comply with all applicable Anti-Money Laundering/Countering Financing of Terrorism (AML/CFT) laws and regulations. A one-off Joining fee of $199 is incurred for Admin including AML Compliance, and all users must be AML verified before using Carbon.

  16. Fees: Buying CCS CO2 Credits on ‘Carbon‘ incurs a 2.49% fee which is clearly disclosed when Buying with Cash or 4.65% when buying on Credit Card. Selling on ‘Carbon’ incurs a 6.79% fee which is clearly disclosed when Selling.

  17. CCS CO2 Credits purchased via credit card will remain held by ‘Carbon” for between 4-5 working days or until the Credit Card Transaction is cleared and paid to Carbons account. These Credits may show in your ‘Carbon’ wallet as ‘Held’ Credits.

  18. Cash earned from selling CCS CO2 Credits where the purchaser has purchased using a Credit Cars will be held by ‘Carbon’ until that payment is cleared and paid to Carbons account. These monies may show in your ‘Carbon’ wallet as ‘Held’ Funds.

  19. Privacy Policy: Carbon collects and processes personal information in accordance with its Privacy Policy. By using the Service, you consent to such collection and processing and warrant that all data provided by you is accurate.

  20. Complaints Process: If you have any complaints or problems, please contact Carbon's support team at support@carbontradingcompany.co.nz. We aim to respond within 2 business days and will work to resolve any issues promptly.

  21. Take it further: If you are not satisfied with Carbon's response to your complaint, you may wish to contact the Insurance and Financial Services Ombudsman Scheme (IFSO Scheme). The IFSO Scheme resolves complaints between consumers and their insurers or financial service providers. The IFSO Scheme can be contacted at:
